Is the registered agent consent form required to be filed with the Pennsylvania Secretary of State?

No separate Pennsylvania registered agent consent form is filed with the Department of State. Pennsylvania business records instead show a registered office address or a commercial registered office provider on the formation, foreign registration, amendment, and change filing.

Consent is documented by naming the Pennsylvania registered office or by listing a commercial registered office provider. If a commercial registered office provider is used, the Department states that the association should have a service contract in place before listing that provider.

What is the difference between the entity-filed change form and the agent-filed change form in Pennsylvania?

An out-of-state LLC registers by filing the Foreign Registration Statement. That filing requires either a Pennsylvania registered office address or the name and county of a commercial registered office provider.

If the foreign LLC later changes its Pennsylvania registered office information, it uses the Foreign Registration Amendment. If a foreign registration is administratively terminated for failure to file annual reports, the Department states that the association must register again with a new Foreign Registration Statement rather than reinstate retroactively.

What forms are used to form or register a partnership in Pennsylvania?

A domestic limited partnership is formed with the Certificate of Limited Partnership, which includes a Pennsylvania registered office or commercial registered office provider and carries a $125 filing fee. An existing domestic limited partnership that elects limited liability limited partnership status files the Statement of Registration, which also carries a $125 filing fee.

A domestic general partnership that elects limited liability partnership status also files the Statement of Registration, but that filing creates LLP status for an existing partnership rather than forming the underlying partnership. For a general partnership, the form states the principal place of business instead of a registered office.

A foreign limited partnership, foreign limited liability limited partnership, or foreign limited liability partnership registers with the Foreign Registration Statement and pays $250. Pennsylvania’s published business forms do not use a separate state-issued partnership formation form for an ordinary domestic general partnership that is not electing LLP status.

Yes. Pennsylvania’s online system is Business Filing Services, and the Department states that a Business Filing Services account is required for online filing.

The forms page states that initial forms are available through the portal and that amendment filings for existing records are available after the filer finds the record and requests access. The annual reports page states that annual reports filed online are automatically approved, and that annual reports do not use expedited service.

Pennsylvania also publishes an Expedited Service Request for in-person expedited business filings. The expedited fees are $100 for same-day service if received before 10:00 a.m., $300 for three-hour service if received before 2:00 p.m., and $1,000 for one-hour service if received before 4:00 p.m.
